an opening in--Mergers & Acquisitions Global Integration,
Corporate
Development.--This role reports to the Senior Director Business
Development.Responsibilities:
- Note: Role title does not denote full scope of role; includes
Separation/Divestitures in addition to Integration M&A
scope
- Develop integration strategy points of view starting in due
diligence through participation in expert calls; assist due
diligence and execution teams with integration and separation
specific topics
- Guide HR, Finance, IT, Supply Chain, Middle, and Front office
functions to the deal end-state, strategic rationale
- Assist the Global Lead onboard separation and/or integration
leaders on each deal effectively by translating key M&A
concepts
- Lead stakeholders and corporate development through the sign to
close period including defining Day 1 readiness and operating model
definitions coordinating IMO efforts between HON leadership and the
prospective buyer / seller
- Guide function and cross-function teams in development of
detailed Day 1 readiness checklists and integration / separation
workplans (Day 30-60-90-180); conducting detailed interviews with
internal business and functional leaders and external company
management concerning operational issues, risks, and
interdependencies
- Understand operational drivers to achieve cost and revenue
synergies as well as management of integration one-time costs /
costs to achieve
- Assist in realization of deal ROI; includes aligning the
commitment case from a deal binding review and translating into a
fully functional operational model through validation of synergies
with function leads to initiatives and toll-gates for approval
- Effectively resolve risks, issues, dependencies, and lead
functional calls between sign and close and post-close without
oversight (direction and coaching to be provided)
- Get the team to deal close and monitor post-close performance;
be able to scorecard current and past deals by tracking with SBG
leadership and finance focal to KPIs and financial outcomes
- Executive report-out presentation proficiency to provide
M&A deal status at the highest levels of the company
- Working practice of TMO governance, TSAs, stranded costs,
one-time costs, organizational design, and operating model
definition (current and future state)
- Be a team player by working with M&A Corporate Development
team to drive process improvements and memorializing best
practices/lessons learned; identify and own efforts for
improvementMust Have:
- 5+ (more years preferred) of progressive experience in M&A
inclusive of pre- and post-close execution either through in-house
corporate development, private equity, consulting, or similar skill
set.-- This would be once a deal is binding and/or with LOI (letter
of intent).
- Demonstration--of cross-functional acumen and willingness to
learn and/or solution at next level detail.Ability to engage senior
leadership through the deal life cycle to achieve desired
outcomes.We Value:
- Bachelor's degree in Finance, Business, Economics, Accounting,
Engineering,--or related field.
- MBA preferred, not required
- Collective deal experience for separation and integration at
the transaction management office (TMO) level; either part of team
or leading.
- Understanding of deal lifecycle from ideation through ROI
achievement across the divestiture and acquisition deal
spectrum.
- Certification/Licenses/Credentials advantageous, not
required.
- Understanding and experience engaging with business leadership
to test assumptions and gain full understanding of strategy and
business/operational implications of --deal commitment case (strong
team player).
- Ability to manage multiple engagements and competing priorities
in a rapidly growing, fast-paced, interactive, results-based team
environment with frequent interaction with CEO, CFO, VP of Global
M&A, and SBG teams.
- Ability to partner with our execution and diligence teams in
the binding valuation effort and coordinate with BD, M&A
- Strategy staff and others in the field.
- M&A tool exposure and/or proficiency preferred inclusive of
MS PowerPoint, Excel, Project
- Excellent verbal, written, and presentation skills.
- Excellent analytical, research, organizational, and project
management skills.
- Developing detailed financial models, including Discounted Cash
Flow and Comparable Company valuations in support of variety of
potential acquisition and divestiture transactions undertaken by
our SBGs and Corporate. Working closely with both Corporate and SBG
business development leadership to achieve thorough,
well-thought-out financial profile of target and impact on
acquisition to SBG and HON.Additional Information
